1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of DrawIQ (the "Service"), operated by [LEGAL ENTITY NAME] ("DrawIQ", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Description of the Service
DrawIQ is a business-to-business software platform that reads labeled CAD drawings (such as PDF exports containing embedded block codes), matches them against pricing information you provide, and generates cost estimate documents. The Service is provided on a subscription basis.
DrawIQ produces estimates based on the data you supply and the labels present in your drawings. You are solely responsible for reviewing, verifying, and approving all output before relying on it. DrawIQ does not guarantee the accuracy, completeness, or fitness of any estimate for any particular purpose.
3. Accounts and Workspaces
To use the Service you must create an account and verify your email address. You may create or be invited to one or more workspaces. Each workspace is an isolated tenant with its own data, members, and roles (owner, member, viewer).
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We offer security features including two-factor authentication and session controls; you are responsible for configuring them appropriately for your needs.
4. Eligibility and Territory
The Service is currently offered to business users in the United States. You represent that you are at least 18 years old and are using the Service for business purposes. The Service is not directed to consumers or to individuals located outside the United States, and we make no representation that it is appropriate or available for use in other jurisdictions.
5. Subscriptions, Fees, and Payment
Access to the Service requires a one-time setup fee and a recurring subscription fee at the tier you select. Fees are described at the point of purchase and are billed in advance. Except as required by law or expressly stated, fees are non-refundable.
We may change our fees on prospective notice. Continued use after a fee change takes effect constitutes acceptance of the new fees. Payment processing is handled by a third-party processor; your use of payment features is also subject to that processor's terms.
6. Your Data and Content
As between you and DrawIQ, you retain all rights to the drawings, pricing data, and other materials you upload ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service for you.
You are responsible for the lawfulness of your Customer Data and for having the rights necessary to upload and process it. You must not upload data that infringes third-party rights or violates any law.
We store Customer Data using third-party infrastructure providers. We implement reasonable technical and organizational measures to protect it, but no system is perfectly secure.
7. Acceptable Use
You agree not to: (a) reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law; (b) use the Service to build a competing product; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to the Service or its related systems; (e) use the Service to store or transmit malicious code; or (f) use the Service in violation of any applicable law.
8. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by DrawIQ and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use it in accordance with these Terms.
9. Service Availability and Changes
We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We may also impose limits on certain features or restrict access without liability.
10. Suspension and Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a manner that risks harm to us or others.
Upon termination, your right to use the Service ceases. We may delete Customer Data after a reasonable retention period following termination, subject to the Privacy Policy. You are responsible for exporting any data you wish to keep before termination takes effect.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ESTIMATES PRODUCED BY THE SERVICE ARE ACCURATE OR SUITABLE FOR ANY DECISION. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL OUTPUT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAWIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless DrawIQ from any claims, damages, liabilities, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the version and effective date and may require you to re-accept the Terms before continuing to use the Service. Your continued use after changes take effect constitutes acceptance.
